PLEASE READ THESE TERMS OF USE CAREFULLY.  By accessing or using our Site in any way you are agreeing to comply with these Terms of Use, including any documents, policies and guidelines incorporated by reference (referred to collectively as the “Terms”).

1. Acceptance of Terms

Smith Micro reserves the right to update and modify the Terms at any time without notice to you other than posting the amended Terms on the Site. The most current version of these Terms of Use can be reviewed by clicking on the “Terms of Use” hypertext link located at the bottom of our web pages. When we make updates to the Terms of Use, Smith Micro will update the date at the top of this page. By using the website after a new version of the Terms of Use has been posted, you agree to the terms of such new version.

2. Authority

Our Site is not intended to be used by persons who are below the age of majority, which in many jurisdictions is the age of 18.  Persons who are not of the age of majority are not eligible to use the Site, and we ask that no information in relation to such persons be submitted to us.

3. Changes to the Terms or the Site

Smith Micro may change or modify the Terms from time-to-time without notice other than posting the amended Terms on the Site. The amended Terms will automatically be effective when posted on the Site. Your continued use of the Site after any changes to the Terms constitutes your consent to such changes. 4. Your Submissions, Registration and Password Security

Our Site may allow you to provide information to us, including without limitation when you fill out a contact form, respond to a job posting, request a product demo, or sign up to receive news or investor communications from us.  When you provide information to us on our Site, you agree to provide true, accurate, current and complete information to promptly update such information to keep it true, accurate, current and complete. If you provide any information that is, or we have reasonable grounds to suspect that the information is, untrue, inaccurate, not current or incomplete, we may without notice suspend or terminate your access to our Site and refuse any and all current or future use of our Site (or any portion thereof).

If any portion of our Site requires you to register or open an account, you may also be asked to choose a password and a user name. Please select a password that would not be obvious to someone trying to guess it and change it regularly as an added precaution. You are responsible for maintaining the confidentiality of your password and account, and you are fully responsible for all activities that occur under your password or account identification. You agree to immediately notify Smith Micro of any unauthorized use of your password or account or any other breach of security. Without limiting any rights which we may otherwise have, Smith Micro reserves the right to take any and all action as we deem necessary or reasonable to ensure the security of our Sites and your account, including without limitation terminating your account, changing your password, or requesting additional information to authorize transactions on your account. Notwithstanding the above, Smith Micro may rely on the authority of anyone accessing your account or using your password and in no event and under no circumstances shall Smith Micro be held liable to you for any liabilities or damages resulting from or arising out of (i) any action or inaction of Smith Micro under this provision, (ii) any compromise of the confidentiality of your account or password and (iii) any unauthorized access to your account or use of your password. You may not use anyone else’s account at any time, without the permission of the account holder.

5. Privacy Policy

Your use of the Site and your submission of information through the Site is governed by Smith Micro’s Privacy Policy, which is located at www.smithmicro.com/privacy (the “Privacy Policy”). The Terms incorporate by reference the terms and conditions of the Privacy Policy.  If you are using any of our software products and related services, such as our mobile software applications and the services accessed thereby (in each case, collectively, the “App”), you understand that your use of the App is further governed by any terms of use and privacy notice(s) included or referenced in the App.

6. Rules of Conduct

While using the Site you will comply with all applicable laws, rules and regulations. In addition, we expect users of the Site to respect the rights and dignity of others. Your use of the Site is conditioned on your compliance with the rules of conduct set forth in this section; any failure to comply may also result in termination of your access to the Site.  You agree that you will not:

  • Post, transmit, or otherwise make available, through or in connection with the Site:

    • Any unsolicited or unauthorized advertising, promotional material, “junk mail,” “spam,” “chain letter,” “pyramid scheme” or investment opportunity, or any other form of solicitation.
    • Any material, non-public information about a company without the proper authorization to do so.
    • Any advertising or linking to any material and/or web sites that are age restricted.
    • Any unacceptable images including depictions of rape, torture, and sexual, lewd or illegal acts.
    • Any threats of physical harm, property damage or acts of violence toward another individual or group of individuals.
  • Use the Site to defame abuse, harass, stalk, threaten or otherwise violate the legal rights of others, including without limitation others’ privacy rights or rights of publicity, or harvest or collect personally identifiable information about other users of the Site.

7. Accuracy of Information

We attempt to ensure that information on this Site is accurate and up to date.  Despite our efforts, the information on this Site may occasionally be inaccurate, incomplete or out of date. Smith Micro does not warrant that information, images, graphic depictions, product and service descriptions or other content of the Site is accurate, complete, reliable, updated, current, or error-free.  All descriptions, images, references, features, content, specifications, products and prices of products and services described or depicted on the Site are subject to change at any time without notice. The inclusion of any products or services on the Site does not imply or warrant that these products or services will be available at any time or in all geographic locations. Descriptions and images of, and references to, third-party products or services do not imply Smith Micro’s endorsement of such third-party products or services.

9. Smith Micro’s Proprietary Rights

The Site and all content provided on or through the Site are the intellectual property and copyrighted works of Smith Micro or a third-party provider. All rights, title and interest not expressly granted with respect to the Site and content provided on or through the Site are hereby expressly reserved. All content is provided on an “As Is” and “As Available” basis, and Smith Micro reserves the right to terminate the permissions granted to you in the Use of Content section above and to terminate your use of or access to the Site or any content at any time.

Most of the trade names, trademarks, service marks, and logos (collectively, “Trademarks”) used and displayed on our Sites are registered or unregistered Trademarks of Smith Micro. Such Trademarks include without limitation those listed at www.smithmicro.com/trademarks and any associated logos.  All trademarks and service marks on the Site that are not owned by Smith Micro are the property of their respective owners and are used for identification purposes only or otherwise as authorized by the applicable Trademark owner. Any reference to any third-party commercial products, processes or services by trade name, trademark, logo, and company and/or product/service names mentioned or displayed in the Site does not constitute or imply Smith Micro’s endorsement, recommendation or favoring by Smith Micro or any of its suppliers/licensors. Upon any such termination, your right to use the Site will immediately cease and we may immediately deactivate or delete your password and username, and all related information and files associated with them, and/or bar any further access to such information or files. You agree that any termination of your access to or use of the Site may be done without prior notice. You agree that Smith Micro shall not be liable to you or to any third party for any termination of your access to the Site or to any such information or files, and shall not be required to make such information or files available to you after any such termination. Sections 3, 7, 9, 12-16, and 18-20 shall survive any expiration or termination of the Terms.

16. Governing Law; Jurisdiction

The Terms are governed by and shall be construed in accordance with the laws of the Commonwealth of Pennsylvania, U.S.A., without regard to its principles of conflicts of law. You agree to exclusive jurisdiction of the federal and state courts located in Allegheny County, Pennsylvania, U.S.A., and waive any jurisdictional, venue or inconvenient forum objections to such courts.

The Site is hosted by Smith Micro from the United States and is not intended to subject Smith Micro to the laws or jurisdiction of any state, country or territory other than that of the United States. Smith Micro does not represent or warrant that the Site or any part thereof is appropriate or available for use in any jurisdiction other than the United States. Those who choose to access the Site do so on their own initiative and at their own risk, and are responsible for complying with all applicable federal, state and local laws, rules and regulations. You are also subject to United States export controls and are responsible for any violations of such controls, including any United States embargoes or other federal rules and regulations restricting exports. Notices to you may be made via posting to the Site, by e-mail, or by regular mail, in Smith Micro’s discretion. The Site may also provide notices of changes to the Terms or other matters by displaying such notices or by providing links to such notices.  Without limitation, you agree that a printed version of the Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Smith Micro will not be responsible for failures to fulfill any obligations due to causes beyond its control. You must file any claim or suit related to our Site within one year after it arises. The Terms do not provide any third party with a remedy, claim, or right of reimbursement.
